Terms & Condition

Effective Date: August 19, 2025

Company: Link Helpers International LLC (“Company,” “we,” “us,” “our”)
Client/Reseller: Any individual, business, or entity purchasing services directly from Link Helpers (“Client”) or purchasing services for the purpose of reselling them under their own brand to End Clients (“Reseller”). Collectively referred to as “you” or “your.”

By submitting payment, completing an order, signing up for a subscription, or reselling services, you agree to the following Terms & Conditions:

1. Definitions

  • Client: Any individual or business purchasing services directly from Link Helpers.
  • Reseller: The individual or business entity that purchases services from Link Helpers for the purpose of reselling them under their own brand to End Clients.
  • End Client: The individual or business receiving services from a Reseller. Link Helpers does not contract directly with End Clients.
  • Platform: The online portal provided by Link Helpers through which Clients and Resellers can place and manage service orders.
  • Services: Local SEO services (including citation building and Superlisting), Reputation Management services, Website Hosting & Maintenance, Domain Management, and Web Development, as described in Section 2.
  • Subscription: A recurring, prepaid monthly arrangement in which Services are delivered automatically.
  • White-Label: A service model in which Link Helpers fulfills services under the Reseller’s brand, with no direct communication with the End Client.

2. Scope of Services

We provide digital marketing and infrastructure services, including but not limited to:

  • Local SEO (citation building, Google Business Profile optimization, Superlisting, reporting)
  • Reputation Management (review request platform, white-labeled service, or platform access)
  • Website Hosting & Maintenance
  • Domain Management
  • Web Development (new website builds, redesigns, landing pages, edits, and technical fixes)

Resellers may place orders for one-time or subscription-based services, fulfilled under their own brand. End Clients do not interact directly with Link Helpers unless separately arranged.

Service details, timelines, and deliverables will be outlined in your invoice, proposal, or onboarding materials.

3. Local SEO Services

  • Services may include: business listing creation, citation submission, Superlisting optimization, and reporting.
  • Each client location is treated as a separate order and billed accordingly.
  • Citation orders are typically completed within 30 business days of intake submission, though timelines may vary based on approvals and data accuracy.

4. Reputation Management Services

  • Platform access is licensed per client location and cannot be shared or resold.
  • You are responsible for safeguarding login credentials and obtaining End Client consent before uploading customer data or sending review outreach.
  • If full-service reputation management is launched, such services will be governed under a separate agreement.

5. Website Hosting Services

Service Levels & Uptime

  • Target uptime is 99.9% monthly (excluding scheduled maintenance and force majeure).
  • Maintenance will be announced at least 48 hours in advance when possible.

Backups & Restoration

  • Backups are retained for 30 days.
  • Restoration requests may incur additional fees.

Security & Updates

  • The Company applies security patches and updates on a reasonable schedule.
  • Clients/Resellers must safeguard their CMS/admin credentials.

Acceptable Use
Hosting services may not be used to:

  • Distribute malware, spam, or phishing content
  • Host illegal, obscene, or infringing material
  • Engage in disruptive or abusive activities

Resource Usage

  • Hosting resources are subject to fair use.
  • Excessive use may require upgrades or extra charges.

Termination of Hosting Services

  • Upon termination, we will provide a one-time export of site files and database for 14 days.
  • After this period, hosted data will be permanently deleted.

6. Payments & Subscriptions

  • All payments are due in advance unless otherwise agreed.
  • Monthly services renew automatically unless cancelled in writing.
  • Annual services are billed once per year and are non-refundable after provisioning.
  • Failure to pay may result in suspension or termination of services.
  • Project-based development may require phased or milestone payments.

7. Pricing Guidelines & MAP Policy (Resellers Only)

  • MSRP & Reseller Pricing: Suggested retail pricing may be provided as guidelines only.
  • MAP Policy: Resellers may not advertise services below published MAP pricing.
  • Confidentiality: All Reseller pricing is confidential and may not be shared externally.
  • Price Changes: Link Helpers may update pricing or MAP with 14 days’ written notice.

8. Client & Reseller Responsibilities

You agree to:

  • Provide accurate and complete business information
  • Grant access to necessary platforms (Google, hosting, domain registrar, etc.)
  • Review and approve deliverables in a timely manner
  • Maintain responsibility for your own content, compliance, and business practices
  • For Resellers: manage all End Client communication and support unless separately arranged

9. SEO & Performance Disclaimers

  • We do not guarantee rankings, leads, or traffic outcomes.
  • SEO performance varies by industry, geography, and competition.
  • Results and timeframes are dependent on factors outside of our control.

10. Termination & Cancellations

  • Clients may cancel monthly services with 30 days’ written notice.
  • We may cancel services for non-payment, breach of terms, or prohibited use.
  • Upon cancellation, we will provide reasonable support for asset transfer.

11. Confidentiality

  • We will not disclose sensitive business data or credentials except as required for service delivery or legal compliance.
  • You agree not to share proprietary reports, deliverables, or materials with competitors or unrelated third parties.

12. Intellectual Property

  • Content and designs created under contract become your property upon full payment.
  • Backend tools, platforms, and systems remain the property of Link Helpers unless explicitly transferred.

13. Limitation of Liability

  • Liability is limited to the amount you paid in the 30 days prior to a claim.
  • We are not liable for indirect damages, business interruption, or revenue/data loss.

14. Governing Law

  • These Terms are governed by the laws of the State of Arizona.
  • Disputes shall be resolved in Maricopa County, Arizona via arbitration or small claims court when applicable.

15. Modifications

We reserve the right to modify or update these Terms at any time.

  • Material changes will be communicated via email or through our portal.
  • Continued use of services after notice constitutes acceptance of updated terms.
